Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Yongji Fentao Technology Co., Ltd. ("Company," "we," "us," or "our") concerning your access to and use of the www.fentao.cfd website and any related services (collectively, the "Services").

Client Work Product

Unless otherwise specified in a separate agreement:

  • Upon full payment, clients receive ownership of custom work product created specifically for them
  • We retain ownership of pre-existing materials, tools, and methodologies used in creating the work
  • We may retain the right to use general knowledge, skills, and experience gained during the project
  • Portfolio rights may be negotiated separately

Project Engagement Terms

All project engagements require a written agreement or statement of work that outlines:

Payment Terms

We warrant that our Services will be performed in a professional and workmanlike manner consistent with industry standards. If Services do not conform to this warranty, we will re-perform the non-conforming Services at no additional cost.

We do not warrant that:

  • The Services will meet all of your requirements
  • The Services will be uninterrupted, timely, secure, or error-free
  • The results obtained from the Services will be accurate or reliable
  • Any errors in the Services will be corrected

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL YONGJI FENTAO TECHNOLOGY CO., LTD., ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  • Your access to or use of or inability to access or use the Services
  • Any conduct or content of any third party on the Services
  • Any content obtained from the Services
  • Unauthorized access, use, or alteration of your transmissions or content

Our total liability for any claims arising out of or relating to these Terms or the Services shall not exceed the amount paid by you to us during the twelve (12) months preceding the claim.

Indemnification

You agree to defend, indemnify, and hold harmless Yongji Fentao Technology Co., Ltd. and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with:

Confidentiality

Termination

We may terminate or suspend your access to the Services immediately, without prior notice or liability, for any reason, including breach of these Terms.

Upon termination:

  • Your right to use the Services will immediately cease
  • Any outstanding payments become immediately due
  • Provisions that by their nature should survive termination shall survive

Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the People's Republic of China, without regard to its conflict of law provisions.

Any disputes arising from these Terms or the Services shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be submitted to the competent court in Yongji City, Shanxi Province, China.

Changes to Terms

We reserve the right to modify or replace these Terms at any time at our sole discretion. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect.

By continuing to access or use our Services after any revisions become effective, you agree to be bound by the revised terms.

Severability

If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.

Entire Agreement

These Terms, together with any project-specific agreements, constitute the entire agreement between you and Yongji Fentao Technology Co., Ltd. regarding the Services and supersede all prior agreements and understandings.
